FAEYC Bylaws

Article I-Name
The name of this organization shall be FAIRBANKS ASSOCIATION FOR THE EDUCATION OF YOUNG CHILDREN.

Article II-Purpose
The purpose of the Association for the Education of Young Children is to serve and act on behalf of the needs and rights of all the children ages 0-12 years, with special emphasis on developmental and educational services and resources and fostering the growth and development of the membership in their work with, and on behalf of, young children. The purpose also includes working with the community regarding the growth of young children in a positive manner.

Article III- Membership
Anyone desirous of promoting the purpose of this organization may become a member upon payment of annual dues. Every member of the Fairbanks Association for the Education of Young Children shall be a member of AKAEYC and also a member of the National Association for the Education of Young Children, entitled to the benefits of membership in accordance with NAEYC's categories of membership.

Dues

Dues shall be determined by the Governing Board and shall include NAEYC's categories of membership and fees for each category.
Dues shall be forwarded to NAEYC for each member annually, entitling each member to all membership benefits of NAEYC.
All membership shall be in the name of individuals to be consistent with NAEYC policy.

Meetings

There shall be no fewer than three general meeting annually that include a supplemental program of interest to the members.
The setting of meeting dates and locations shall be the responsibility of the Governing Board.
The Governing Board shall give seven days notice for any general meeting to every member. All general and Governing Board meetings are open to the membership.
10% of the membership shall constitute a quorum for the transaction of business at a general meeting.
Voting may also be done by mail or phone if 85% of the members are contacted.

Article IV-Officers
The officers and suggested duties of this organization shall be:

President Chair meetings, coordinate and help establish group direction; grant coordinator. Community liaison with city, borough, state legislature, etc.; represent FAEYC on KIDPAC council.
President Elect Assist President, chair meetings in President's absence; responsible for programs of general interest to members. Responsible for annual conference; works with Board, committee and Conference Coordinator; after one term becomes president.
1st Vice- President Liaison with NAEYC, AkAEYC. They will also hold a position on the State AkAEYC board.
2nd Vice- President Will be responsible for the bi-monthly newsletter and all advertisements needed for FAEYC functions.
Public Event Chairperson Public service event coordinator, coordinates for Week of the Young Child events, FAEYC kickoff, Provider appreciation day, and any other events FAEYC sponsors.
Treasurer Responsible for funds.
Correspondence Secretary Minutes of meetings and correspondence.
Public Policy Chairperson Responsible for keeping current on issues of advocacy and public policy and bringing to the attention of the Board.

Officers shall be elected by the membership. Elections shall take place annually.
The term of office shall be two years.
The procedure used for filling a vacant office shall be:
If the president leaves, the President Elect shall fill the office. If any other officers leave, the president can appoint an individual to fill the vacancy for the remainder of the term or until the next election. The appointee shall be out of the current membership.

Article V- Administrating Body
The administering Body shall be called the Governing Board and shall consist of the officers. Officers must be members in good standing of the Fairbanks Association for the Education of Young Children.

The duties of the Governing Board are as follows:

  1. To conduct the business of the organization in cooperation with the membership;
  2. To define and make new policies and procedures for the organization;
  3. To manage and administer the affairs and property of the organization;
  4. To submit required annual affiliation data and fees to the NAEYC membership department.

>The Governing Board will hold meeting on a regular basis through out the year with no fewer than four meeting a year. The Governing Board will determine the date, time and place of the meeting and notice shall be made at least 7 days in advance to the membership.

The size of the Governing Board is subject to change at its discretion; however, the number shall not be less than 6 nor more than 10.

A simply majority of the Governing Board shall constitute a quorum for the purpose of business.

An officer or board member may resign at any time. The resignation shall be made in writing and shall take effect at the time specified therein. The acceptance of a resignation shall not be necessary to take effect.

The Board shall fill vacancies on the Board. Each person chosen to fill a vacancy on the Board shall hold office until the next annual election of Board members, or if so determined by the Board, until the expiration of the term of the vacant position.

Article VI-Budget
The governing Board shall be empowered to establish, monitor, and change the association budget, in accordance with the association bylaws and policies.

Annually at its first meeting preceding the beginning of the fiscal year the Governing Board shall establish the association budget.

Article VII-Nominations and Elections
The nominating Committee shall consist of no fewer than three members.

The Governing Board shall select members of the Nominating Committee. The slate, prepared by the Nominating Committee, shall be made available to the membership 14 days prior to the election.

Balloting shall take place by mail. Ballots shall take place by mail. Ballots will be sent to all members 14 days prior to an election meeting.

The majority of the voting membership shall determine the election.

The membership shall be informed of the election results by announcement at the election meeting and by publication of the results in the newsletter.

Article VIII-Amending Bylaws
These bylaws may be amended at any time by 60% of the members present at a meeting called for this purpose.

Amendments may be proposed by any member and shall be approved by the Governing Board before being submitted to the entire membership.

Members must receive a copy of the proposed changes 14 days in advance of the meeting.

Article IX-Fiscal Year
The fiscal year shall be January 01 through December 31.

Article X-Grants and Contracts
The Governing Board is responsible for the administration and fiscal responsibility of grants and contracts.

The Governing Board must approve all grants.

Reports shall be given to the membership periodically and a written report upon completion of the project which includes accountability of all funds spent.

In reviewing grant proposals, greater weight shall be given to those benefiting the greater number of children.

Article XI-Non-Discrimination
Services and employment opportunities of the organization shall be extended without regard to race, creed, color, national origin, religion, sex, or any sensory, mental or physical handicap.

Article XII-Dissolution
A recommendation for the dissolution of the organization, approved by at least 75% of the members of the Governing Board, shall be submitted to the membership for action. Such a recommendation is presented to the membership orally at a meeting called for that purpose. The recommendations must then be approved by a simple majority of voting members. In the event of dissolution, the Governing Board shall determine the disbursement of the funds of Fairbanks Association for the Education of Young Children to one or more nonprofit organizations classified by the Internal Revenue Service as tax exempt under section 501©(3) of the Internal Revenue Code.

Article XIII-Parliamentary Procedure
Robert's rules of Order, Newly revised, shall be the parliamentary authority governing the organization. Proxy votes shall be accepted for specific issues when signed by the member.
